Terms And Condtions of Use for Dental Schoolie

Effective Date: July 24, 2025


These Terms of Use ("Terms") govern your access to and use of the Dental Schoolie software platform and services (the "Service"), provided by Dental Schoolie Corp ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you are using the Service on behalf of an organization, you are agreeing to these Terms for that organization and representing that you have the authority to bind that organization to these Terms. In that case, "you" and "your" will refer to that organization.

2. The Service

Dental Schoolie is a software platform designed to assist businesses with staff onboarding, the management of operating procedures, checklists, and certifications, and the provision of educational content.

3. Accounts and Access

  • Account Creation: You must register for an account to access most features of the Service. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

  • Authorized Users: You are responsible for ensuring that all individuals who access the Service through your account ("Authorized Users") comply with these Terms. You are responsible for the activities of all Authorized Users and for ensuring their access is managed appropriately.

  • Account Security: You are responsible for maintaining the confidentiality of your account login credentials and are solely responsible for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

  • Eligibility: You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service.


4. Content on the Service

  • Our Educational Content: We provide certain educational content, training modules, and general best practices ("Our Content") as part of the Service. Our Content is available to all subscribing customers. While we strive for accuracy, Our Content is for informational and educational purposes only and should not be considered legal, medical, or professional advice. You acknowledge that relying on Our Content is at your own risk.

  • Customer-Created Content ("Your Content"):

    • Ownership: You retain all ownership rights in Your Content that you or your Authorized Users create, upload, store, or make available within your organization's instance of the Service.

    • Confidentiality: Unless explicitly agreed otherwise, Your Content remains private to your authorized users within your organization's instance of the Service. We will not share Your Content with other customers or third parties, except as described in our Privacy Policy or if required by law.

    • License to Us: By creating, uploading, or storing Your Content on the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, and perform Your Content solely as necessary to provide, maintain, and improve the Service for you and your Authorized Users.

  • Sharing Your Content with Other Customers (Monetization):

    • You have the option to make Your Content available to other subscribing customers of Dental Schoolie for an agreed-upon price or revenue share model ("Shared Content").

    • By choosing to make Your Content Shared Content, you grant us a worldwide, non-exclusive, sublicensable, royalty-free (or royalty-bearing, as per your separate agreement with us) license to display, perform, reproduce, distribute, and make available such Shared Content to other subscribing customers in accordance with your specified pricing and terms.

    • You represent and warrant that you have all necessary rights, licenses, consents, and permissions to share Your Content as Shared Content and that the Shared Content does not violate any third-party rights.

    • We are not responsible for the content, accuracy, or quality of any Shared Content created by other customers.

5. Permitted Use and Restrictions

  • Permitted Use: You may use the Service only for your internal business purposes related to staff training, onboarding, and operational management.

  • Prohibited Conduct: You agree not to:

    • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law.

    • Upload, post, transmit, or otherwise make available any content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.

    • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

    • Interfere with or disrupt the Service or servers or networks connected to the Service.

    • Attempt to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service through hacking, password mining, or any other means.

    • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.

    • Resell, sublicense, or otherwise provide the Service to third parties without our express written consent.

6. Intellectual Property

  • Our Intellectual Property: The Service, including all software, text, graphics, images, video, audio, and Our Content, and the trademarks, service marks, and logos contained therein, are owned by or licensed to Dental Schoolie Corp and are protected by copyright, trademark, and other intellectual property laws.

  • Your Intellectual Property: As stated in Section 4, you retain all ownership rights to Your Content.


7. Subscriptions, Fees, and Payments

  • Subscription: Access to certain features of the Service requires a paid subscription. You agree to pay all applicable fees as described on our website or in a separate agreement.

  • Billing: Fees are billed monthly in advance. You authorize us to charge your payment method for all applicable fees.

  • Renewal: Subscriptions will automatically renew at the end of each billing period unless you cancel your subscription prior to the renewal date.

  • Refunds: All fees are non-refundable, except as required by law.

  • Changes to Fees: We reserve the right to change our prices at any time. We will provide you with reasonable advance notice of any price changes.


8. Termination

  • By You: You may terminate your account at any time by contacting us at our Contact Us details below.

  • By Us: We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

  • Effect of Termination: Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.


9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

IN NO EVENT SHALL Dental Schoolie Corp, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dental Schoolie Corp and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms; or c) Your Content.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Washington, USA, without regard to its conflict of law provisions.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration in accordance with the AAA Commercial Arbitration Rules then in force. The seat of arbitration shall be Seattle, Washington. The language of the arbitration shall be English.


14. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and us regarding our Service and supersede and replace any prior agreements.

  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.1

  • Severability: If any provision of these Terms is held to be invalid or unenforceable 2by a court, the remaining provisions of these Terms will remain in effect.

  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign these Terms at our sole discretion without restriction.


15. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
